These Terms & Conditions (“Terms”) govern the provision of services by BUILDBIRD LTD (“buildbird”, “we”, “our”, or “us”) to any client, customer, business, organisation, or website visitor (“Client”, “you”, or “your”).

By purchasing, accessing, or using our services, website, or digital platforms, you agree to be bound by these Terms.


 

1. Company Information

BUILDBIRD LTD provides website design and development, social media management, AI automation services, AI voice agents, AI chatbots, Google review automation systems, and related digital marketing and automation solutions.

2. Services Covered Under These Terms

These Terms apply to all services provided by buildbird, including but not limited to:

  • Website Design & Development

  • Website Hosting & Maintenance

  • Social Media Management

  • AI Voice Agents

  • AI Website Chatbots

  • AI Automations

  • Google Review Automation Systems

  • Content Creation

  • AI Generated Media & Advertising Content

  • Consultation & Strategy Services

  • Ongoing Support & Maintenance

Specific service proposals, invoices, onboarding documents, quotations, emails, or agreements may include additional terms which shall form part of these Terms.


 

3. Client Eligibility

By using our services, you confirm that:

  • You are at least 18 years old;

  • You have authority to act on behalf of the business or organisation engaging our services;

  • All information you provide to us is accurate and complete. 


 

4. Website Design & Development Services

 
4.1 Minimum Contract Term

All website design and development services are subject to a minimum 12-month agreement unless otherwise agreed in writing.

The agreement begins from the date the website goes live or from the agreed service commencement date.

 
4.2 Included Services

Depending on the selected package, website services may include:

  • Website design and development;

  • Mobile optimisation;

  • Basic SEO setup;

  • Hosting and maintenance;

  • AI integrations;

  • Website updates;

  • Security monitoring;

  • Technical support.

Specific deliverables will be outlined within your quotation, proposal, or onboarding agreement.

 
4.3 Website Content

The Client is responsible for supplying all required content, including:

  • Text;

  • Branding assets;

  • Logos;

  • Images;

  • Videos;

  • Legal policies;

  • Product information.

Where buildbird assists with AI-generated or written content, the Client remains responsible for reviewing and approving all content prior to publication.

 
4.4 Delays

Project timelines may be delayed where:

  • The Client fails to provide required materials;

  • Feedback or approvals are delayed;

  • Third-party providers experience issues;

  • Technical complications occur outside our control.

buildbird shall not be liable for delays caused by the Client or external third parties.

 
4.5 Website Ownership

Upon full payment of all outstanding invoices:

  • The Client owns the final approved website design and website content created specifically for them;

  • buildbird retains ownership of all proprietary systems, frameworks, software, automation logic, templates, coding libraries, AI prompts, backend systems, and reusable development assets.

If the Client cancels during the minimum contract term, ownership transfer may be withheld until all outstanding balances have been settled.

 
4.6 Third-Party Services

Websites may rely on third-party platforms, plugins, APIs, hosting providers, domains, or software tools.

buildbird is not responsible for outages, pricing changes, service interruptions, policy changes, or failures caused by third-party providers.x


 

5. Social Media Management Services

 
5.1 Minimum Contract Term

All social media management services are subject to a minimum 3-month agreement unless otherwise agreed in writing.

The agreement begins from the agreed onboarding or campaign start date.

 
5.2 Scope of Services

Services may include:

  • Social media strategy;

  • AI-generated content creation;

  • Carousel post design;

  • Captions and copywriting;

  • Content scheduling;

  • Community management;

  • Ad creative production;

  • Analytics and reporting.

Deliverables vary depending on the selected package.

 
5.3 Content Approval

Where applicable, content may require Client approval before posting.

If the Client fails to approve content in time, buildbird reserves the right to:

  • Delay publication;

  • Post approved or previously agreed content;

  • Adjust posting schedules.

The Client remains fully responsible for ensuring all published content is accurate and legally compliant.

 
5.4 Performance Disclaimer

While we aim to improve engagement, reach, visibility, and lead generation, buildbird does not guarantee:

  • Specific follower growth;

  • Viral content;

  • Revenue increases;

  • Lead volume;

  • Ad performance;

  • Search rankings;

  • Engagement metrics.

Social media performance depends on multiple factors outside our control, including platform algorithms, audience behaviour, competition, advertising budgets, and market conditions.

 
5.5 Platform Access

The Client agrees to provide the required account access, permissions, assets, and information needed for us to deliver the services.

buildbird is not liable for delays caused by restricted access or incorrect account permissions.


 

6. AI Services & Automations

 
6.1 AI Generated Content

Our services may utilise artificial intelligence tools and technologies to generate:

  • Written content;

  • Images;

  • Audio;

  • Videos;

  • Voice responses;

  • Automated workflows;

  • Marketing materials.

AI-generated outputs may occasionally contain inaccuracies, inconsistencies, or unintended results.

The Client is responsible for reviewing and approving all AI-generated content before use or publication.

 
6.2 AI Voice Agents & Chatbots

AI voice agents and chatbots are designed to assist businesses through automation.

buildbird does not guarantee:

  • 100% accuracy;

  • Continuous uptime;

  • Error-free responses;

  • Full compatibility with all third-party systems.

The Client accepts that AI systems may occasionally produce incorrect, incomplete, or unexpected outputs.

 
6.3 Compliance Responsibility

The Client remains solely responsible for ensuring their use of AI systems complies with:

  • UK laws;

  • GDPR;

  • Advertising regulations;

  • Industry regulations;

  • Consumer protection laws;

  • Any platform-specific rules.


 

7. Payments & Billing

 
7.1 Payment Terms

Invoices are payable within the payment period specified on the invoice.

Failure to pay invoices on time may result in:

  • Suspension of services;

  • Removal of website hosting;

  • Paused social media posting;

  • Restricted support access;

  • Late payment fees.

 
7.2 Subscription & Monthly Services

Monthly services operate on a recurring billing basis.

By purchasing our services, you authorise buildbird to invoice you monthly for the agreed service fees during the contract term.

 
7.3 Late Payments

buildbird reserves the right to charge statutory interest and recovery costs on overdue invoices in accordance with UK law.

 
7.4 Non-Payment

Where invoices remain unpaid:

  • Services may be suspended or terminated;

  • Website access or hosting may be disabled;

  • Outstanding balances may be referred to debt recovery services.

All recovery costs incurred may be added to the outstanding balance.


 

8. Cancellation & Termination

 
8.1 Website Services

Website service agreements may not be cancelled during the initial 12-month minimum term unless agreed in writing.

If the Client chooses to terminate early:

  • Remaining monthly fees for the minimum term may become immediately payable;

  • buildbird may suspend or remove hosted services;

  • Ownership transfer may be delayed until outstanding balances are settled.

 
8.2 Social Media Services

Social media management agreements may not be cancelled during the initial 3-month minimum term unless agreed in writing.

Following the minimum term, either party may terminate the agreement by providing 30 days written notice.

 
8.3 Immediate Termination

buildbird reserves the right to suspend or terminate services immediately where:

  • Payments remain overdue;

  • The Client engages in abusive behaviour;

  • Illegal, harmful, or unethical activity is suspected;

  • The Client breaches these Terms.

 
8.4 Effect of Termination

Upon termination:

  • Access to services may cease immediately;

  • Unpaid balances become immediately due;

  • Hosted websites or automation systems may be disabled;

  • Ongoing support obligations end.


 

9. Refund Policy

Unless otherwise agreed in writing:

  • Monthly service fees are non-refundable;

  • Deposits are non-refundable;

  • Partially completed work is non-refundable;

  • AI setup fees and onboarding fees are non-refundable.

Refunds may be considered at buildbird’s sole discretion.


 

10. Intellectual Property

 
10.1 buildbird Intellectual Property

All intellectual property relating to:

  • buildbird branding;

  • software;

  • systems;

  • templates;

  • automation frameworks;

  • AI prompts;

  • workflows;

  • methodologies;

  • internal processes;

  • reusable assets;

  • training systems;

  • proprietary technologies;

shall remain the exclusive property of buildbird.

 
10.2 Client Intellectual Property

The Client retains ownership of their own trademarks, logos, business materials, and pre-existing intellectual property.

The Client grants buildbird a non-exclusive licence to use such materials solely for the purpose of delivering the agreed services.


 

11. Portfolio & Marketing Rights

Unless agreed otherwise in writing, buildbird may:

  • Display completed work within our portfolio;

  • Use project examples for marketing purposes;

  • Share website screenshots, social media examples, AI automations, analytics, or campaign results as case studies.

Confidential information will not be disclosed.


 

12. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties unless:

  • Required by law;

  • Necessary for service delivery;

  • Already publicly available.

This obligation continues after termination of services.


 

13. Data Protection & GDPR

buildbird processes personal data in accordance with applicable UK GDPR and data protection laws.

Where buildbird processes data on behalf of a Client, the Client remains the Data Controller and buildbird acts as the Data Processor.

The Client is responsible for:

  • Obtaining lawful consent where required;

  • Ensuring their website policies are compliant;

  • Ensuring lawful use of customer data.


 

14. Acceptable Use

Clients may not use our services for:

  • Illegal activity;

  • Fraudulent activity;

  • Spam;

  • Harassment;

  • Misleading advertising;

  • Copyright infringement;

  • Offensive or harmful content;

  • Malicious software distribution;

  • Any activity that could damage buildbird’s reputation or systems.

buildbird reserves the right to suspend services where unacceptable use is identified.


 

15. Service Availability

While we aim to provide reliable and uninterrupted services, buildbird does not guarantee continuous availability.

Downtime may occur due to:

  • Scheduled maintenance;

  • Technical issues;

  • Third-party outages;

  • Cyber attacks;

  • Internet failures;

  • Events outside our control.


 

16. Limitation of Liability

To the fullest extent permitted by law, buildbird shall not be liable for:

  • Loss of profits;

  • Loss of revenue;

  • Loss of data;

  • Business interruption;

  • Loss of opportunity;

  • Indirect or consequential losses;

  • Platform outages;

  • AI inaccuracies;

  • Advertising performance;

  • Third-party software failures.

Our total liability relating to any claim shall not exceed the total amount paid by the Client to buildbird during the previous 3 months of services.

Nothing within these Terms excludes liability where it cannot legally be excluded under applicable law.


 

17. Indemnity

The Client agrees to indemnify and hold harmless buildbird against any claims, damages, losses, liabilities, or expenses arising from:

  • Client content;

  • Breach of these Terms;

  • Illegal use of services;

  • Misuse of AI systems;

  • Regulatory breaches;

  • Intellectual property disputes relating to Client materials.


 

18. Force Majeure

buildbird shall not be liable for delays or failures caused by events beyond our reasonable control, including:

  • Natural disasters;

  • Cyber attacks;

  • Internet outages;

  • Government restrictions;

  • Power failures;

  • Labour disputes;

  • Third-party service interruptions.


 

19. Changes to Services or Terms

buildbird reserves the right to:

  • Modify services;

  • Update pricing;

  • Amend these Terms.

Updated Terms shall become effective once published on our website.

Continued use of our services constitutes acceptance of the updated Terms.


 

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

22. Entire Agreement

23. Severability

If any provision within these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


 

24. Waiver

Failure by buildbird to enforce any provision of these Terms shall not constitute a waiver of any rights.
